Bankruptcy & Restructuring


Our Bankruptcy and Restructuring practice specializes in representing troubled public and private companies, pre- and post-petition lenders, creditors and creditor committees, boards of directors, management and stockholders in all aspects of business reorganization and restructuring, including expedited, high-stakes litigation.   Based on our decades of expertise and intimate familiarity with local practice, Chipman Brown Cicero & Cole acts as lead and co-lead restructuring counsel, as well as conflicts and special litigation counsel primarily in Bankruptcy and District Courts in Delaware.

Securities Litigation & Enforcement


Our Securities Litigation & Enforcement practice represents clients in all aspects of investment-related and corporate investigations, enforcement proceedings, civil actions in state and federal courts, and arbitrations.   Our attorneys represent individuals, companies, hedge funds, broker-dealers and their employees and other professionals in investigations and enforcement proceedings commenced by the Securities and Exchange Commission, the Financial Industry Regulatory Authority, the New York Stock Exchange, state attorneys general and state securities regulators.   Our attorneys also have extensive experience representing clients in private investment-related litigation in federal and state courts including individual and class action claims alleging securities fraud, breach of fiduciary duty, and other corporate wrongdoing, as well as defending broker-dealers and their employees in FINRA and NYSE arbitrations involving customer disputes and employment arbitrations.


Corporate & Commercial Litigation


Our Corporate & Commercial Litigation practice represents clients in complex business and commercial disputes in federal and state courts primarily in Delaware and New York.   Our attorneys regularly handle a wide variety of cases involving contract disputes, fiduciary duties, business torts, trade secrets, financial instruments, lender liability, debtor and creditor rights, and other commercial matters important to our clients.   Our litigators also represent clients in intellectual property litigation pending in the District of Delaware principally as co-counsel with intellectual property practitioners from around the United States.


A prominent feature of our practice is its concentration on high-stake cases in Delaware’s Court of Chancery arising under Delaware corporate or alternative entity law.   These cases involve a broad spectrum of issues, including breach of fiduciary duty claims, corporate control issues, mergers and acquisitions litigation, actions involving the interpretation of charter provisions and bylaws, actions involving directors’ and officers’ requests for advancement and indemnification, actions involving dissolution of joint venture corporations and other business entities, stockholder appraisal actions, demands for inspection of corporate books and records, demands for the registration of stock transfers, actions arising from stock splits and other restructurings or recapitalizations, litigation stemming from asset sales, demands to compel meetings of stockholders and actions regarding stockholder voting rights.



Corporate Counseling


Our Corporate Counseling practice advises clients on corporate governance issues arising under the Delaware General Corporation Law.   Our clients include boards of directors, special committees of boards of directors, management and significant stockholders of Delaware corporations and other entities in connection with fiduciary responsibilities and a full array of other critical components of Delaware corporate law.
